Metaplanet Executes About ¥19.3 Billion in Share Buybacks Out of ¥60 Billion Repurchase Authorization
- Metaplanet fixed the conversion price for its 2031 euro-yen convertible bonds at ¥339 (a 29.89% premium to the ¥261 October 13 close) and bought back 73,981,400 shares (~¥19.3 billion) via an off-auction treasury transaction on October 14, under the ¥60 billion/200 million-share buyback authorization approved October 13 (valid through October 13, 2027); unused funds will go toward further market buybacks or credit facility repayment.
- The ¥52 billion zero-interest convertible bond issue (payment date October 29, warrant exercise period November 12, 2026–October 15, 2031, redemption October 29, 2031) will replace part of Metaplanet's bitcoin-collateralized interest-bearing debt; about ¥23.6 billion of proceeds will repay part of its credit facility in November and release the pledged bitcoin collateral, with the potential dilution ratio estimated at 11.24% of outstanding shares (ex-treasury) as of September 30, 2026.
- CEO Simon Gerovich will lend up to 55 million of his personally held Metaplanet shares through an asset management company to the bond's lead underwriters at a 0.75% annual rate—well below current market rates—to cut borrowing costs for institutional investors hedging the convertible bonds; the lending arrangement was reviewed and approved by outside directors with Gerovich excluded from the decision.
